End User License Agreement

Grant of License

Subject to your compliance with this EULA and payment of applicable fees processed via Whop, GPTrader grants you a limited, non-exclusive, non-transferable, revocable license to access and use the GPTrader software platform ("Software") solely for your personal or internal business trading analysis purposes.

This license does not include any right to sublicense, sell, resell, transfer, or commercially exploit the Software.

Scope of Use

You may use the Software to:

• Deploy AI trading agents connected to your personal exchange accounts via your own API keys
• Generate, backtest, and optimize trading strategies using natural language prompts
• Access real-time market analysis, sentiment data, and multi-model AI insights
• Monitor and manage autonomous agents running on GPTrader's cloud infrastructure
• Participate in the referral program under the terms defined by GPTrader

License Restrictions

You agree that you will NOT:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software or its AI models
• Copy, reproduce, or create derivative works based on the Software without prior written consent
• Share, sell, sublicense, or otherwise transfer your account access or license rights to any third party
• Use the Software to develop competing products or services
• Remove, alter, or obscure any proprietary notices or labels on the Software
• Use automated means (bots, scrapers) to access the Software beyond its intended functionality
• Attempt to circumvent any technical protection measures, rate limits, or access controls

Intellectual Property

The Software, including all AI models, algorithms, code, interfaces, designs, and documentation, is and shall remain the exclusive property of GPTrader. This EULA does not transfer any ownership rights to you.

Any feedback, suggestions, or ideas you provide regarding the Software may be used by GPTrader freely without obligation or compensation.

AI Agent Functionality — Special Terms

The AI agents provided through the Software operate autonomously based on parameters you configure. You acknowledge and agree that:

• AI agents make decisions based on algorithmic analysis and are not infallible
• Market conditions can change faster than any AI can adapt — past backtested performance does not guarantee future results
• You retain full responsibility and liability for all trades executed through your configured agents
• GPTrader does not guarantee any specific trading performance, profit, or outcome
• Agent mutations and adaptations are part of the platform's design — final results may differ from initial backtests

API Key Responsibility

To enable agent functionality, you must provide API keys from your exchange accounts. You acknowledge that:

• You are solely responsible for the security of your API keys
• GPTrader encrypts and securely stores your keys but cannot guarantee absolute security
• You must configure exchange API keys with trade-only permissions — never enable withdrawal permissions
• GPTrader will never use your API keys for any purpose other than executing trades you authorize
• You should immediately revoke and replace API keys if you suspect compromise

Updates and Modifications

GPTrader reserves the right to modify, update, suspend, or discontinue the Software or any feature thereof at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

Updates may be applied automatically. Continued use of the Software after updates constitutes acceptance of any changes.

Term and Termination

This EULA is effective from the date you first access the Software and shall remain in effect until terminated.

Your license will automatically terminate if you breach any provision of this EULA. GPTrader may also terminate your license at any time with or without cause.

Upon termination: (a) all rights granted to you immediately cease; (b) you must stop all use of the Software; (c) GPTrader may delete your account data in accordance with the Privacy Policy.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. GPTRADER EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GPTRADER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GPTRADER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION TRADING LOSSES, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE SOFTWARE.

GPTRADER'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Governing Law and Dispute Resolution

This EULA shall be governed by applicable law. Any dispute arising from or related to this EULA shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be submitted to binding arbitration. Nothing in this section limits GPTrader's ability to seek equitable relief for intellectual property infringement.

Entire Agreement

This EULA, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and GPTrader regarding the Software and supersedes all prior agreements.
